TERMS & CONDITIONS AND THE LEGAL MATTERS

Butzel provides a resource center for in-house counsel and business executives involved in the global automotive industry. The Automotive Industry Team provides these resources for information only and should not be considered as legal advice. This information is not intended to create, and receipt of it, does not constitute a client-lawyer relationship. For more information, please contact your Butzel attorney.

The Butzel Automotive Industry Team also provides updates and news on key legal and business issues impacting the automotive industry, including supply chain, tariffs and international trade, and labor. To receive these timely industry updates, please sign up for our Automotive Client Alerts.

The OEM Terms & Conditions provided below are what Butzel believes to be the most recent version of the various OEMs standard terms of the listed OEMs. For OEMs designated with an asterisk, the non-current terms are posted to indicate those OEMs consider their most recent terms to be subject to confidentiality or similar obligations. The Butzel Automotive Industry Team is knowledgeable about all of the current standard terms and is available to advise on them.

Each year the Butzel Automotive Industry Team, in partnership with MEMA Original Equipment Suppliers (“MEMA OE Suppliers”), writes and provides an updated comparative analysis of the general contract terms and conditions issued by automotive Original Equipment Manufacturers (OEMs) in North America for production parts purchased in North America. The OEM Light Vehicle North American Production Purchase Order Contract Terms and Conditions Comparative Analysis, the “Ts and Cs book,” is meant to clarify essential documents within OEM/Supplier contractual relationships, and highlights areas most critical to today’s automotive suppliers and buyers.

The new 20th Edition, 2025 MEMA Original Equipment Suppliers, OEM Light Vehicle North American Production Purchase Order Contract Terms and Conditions Comparative Analysis, issued September 18, 2025, is available for purchase. Book orders can be placed directly through MEMA or please contact your Butzel attorney.
