OESA and Butzel Long announce a briefing to discuss current legal and commercial issues on Oct. 27, 2011, at the MSU Management Education Center, Troy, Mich., and via live webinar. The meeting will focus on commercial relationships and supply chain issues, as well as key legal topics of current interest.
Lisa Boulton, vice president and general counsel, AGS Automotive, and chairman of the OESA Legal Issues Council, will provide a report on the OESA Model Terms and Conditions 2011 update, including a review of substantively changed and new provisions. The 2011 revision is the first significant revision since the initial publication of the OESA Model Terms.
Cynthia Haffey, shareholder, Butzel Long, will discuss changes and updates to the “OESA OEM Production P.O. Terms and Conditions Comparative Analysis,” including key changes to the new GM and BMW terms. OESA and Butzel Long partnered to develop the “Comparative Analysis,” which compares terms and conditions of BMW, Chrysler, Daimler, Ford, GM, Honda, Hyundai, Kia, Nissan, Toyota and VW. The Comparative Analysis was created in 2008, and updated in 2009, 2010 and 2011.

Beverly Bunting, associate, Butzel Long, will discuss how the new patent law affects supply chain contracting, with a focus on steps suppliers should take to protect their intellectual property.
The session will wrap up with a panel discussion entitled “Supply Chain Wars,” where Butzel attorneys will address supply chain issues in a panel discussion format, and argue “both sides” of several real-life scenarios, allowing the audience to see and understand the various positions and options that members of the supply chain may have in cases of supply disputes.
